These Website Terms of Use (the "Terms") govern your access to and use of totalorbit.com and other public websites operated by Total Orbit, Inc., doing business as CareOrbit (collectively, the "Website"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

These Terms apply only to the public Website. They do not replace any Order Form, service agreement, Business Associate Agreement, data processing agreement, or other contract governing a customer’s use of the CareOrbit platform. If you access CareOrbit through a healthcare organization, employer, research organization, or other customer, your access may also be governed by that organization’s terms, notices, and instructions.

1 About CareOrbit

CareOrbit is a technology platform operated by Total Orbit, Inc. It provides education, engagement, assessment, content-management, communication, analytics, and related services for healthcare and other organizations. Information on the Website describes our company, products, services, capabilities, and potential applications.

2 Not medical advice or emergency services

The Website provides general informational and educational content. It does not provide medical advice, diagnosis, treatment, monitoring, or emergency services and does not create a healthcare provider-patient relationship. Do not delay or disregard professional medical advice because of information on the Website.

If you have a medical emergency, call 911 or the appropriate local emergency service. Questions about your care, medical records, appointments, assessments, or information provided through a CareOrbit experience should be directed to the healthcare organization that invited you.

3 Eligibility and authority

The Website is intended for individuals who can legally agree to these Terms. If you use the Website on behalf of an organization, you represent that you have authority to act for that organization. The Website is not directed to children under 13, and children under 13 should not submit information through the Website.

4 Permitted use

You may view and use the Website for lawful personal or internal business purposes, including learning about CareOrbit, contacting us, requesting information, or evaluating whether to discuss our services. This permission is limited, nonexclusive, revocable, and may not be transferred.

5 Prohibited conduct

You may not:

• use the Website in violation of law or the rights of another person;
• submit false, misleading, unlawful, infringing, defamatory, or malicious material;
• introduce malware or attempt to disrupt, damage, overload, or interfere with the Website or related systems;

If you submit a contact form, demo request, message, feedback, or other information through the Website, you represent that the information is accurate, lawful, and yours to provide. Do not submit medical records, detailed health information, Social Security numbers, payment-card information, passwords, or other sensitive information through an ordinary Website form or email unless we specifically provide and direct you to an appropriate secure method.

You grant us permission to use submitted information to respond to you, provide requested information, manage our business relationship, protect the Website, and otherwise act as described in our Privacy Policy. Feedback and suggestions about our products may be used without restriction or compensation, provided we do not publicly identify you as the source without permission.

If you are a patient or another individual using CareOrbit at an organization’s invitation, that organization’s privacy notice may also apply.

The Website and its text, design, graphics, photographs, videos, software, interfaces, trademarks, logos, and other content are owned by or licensed to Total Orbit and are protected by intellectual-property laws. Except for the limited permission in Section 4, no rights are granted to you. You may not remove copyright, trademark, or other proprietary notices.

CareOrbit, Total Orbit, the CareOrbit logo, and related product and service names are trademarks or trade names of Total Orbit, Inc. Other names and marks belong to their respective owners.

9 Third party content and links

The Website may link to third-party websites, publications, videos, tools, or resources. Links are provided for convenience and do not mean that we control or endorse the third party. We are not responsible for third-party content, availability, security, privacy practices, or products. Your use of a third-party service is governed by that third party’s terms and policies.

10 Product information and availability

Descriptions, screenshots, demonstrations, examples, performance statements, roadmaps, and other product information are provided for general information and may change. Features may vary by customer, configuration, agreement, integration, location, and regulatory requirements. Nothing on the Website is an offer or binding commitment to provide a feature, price, result, implementation date, service level, or future functionality. Binding commitments must appear in a written agreement with Total Orbit.

11 Copyright concerns

If you believe material on the Website infringes your copyright, send a written notice to legal@totalorbit.com that identifies the copyrighted work, the allegedly infringing material and its location, your contact information, a good-faith statement that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your physical or electronic signature. We may remove or restrict access to material while reviewing a notice.

12 Disclaimer of warranties

THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL ORBIT DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT WILL BE COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR PURPOSE.

13 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL ORBIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

14 Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Total Orbit and its Affiliates, officers, directors, employees, contractors, licensors, and service providers from third-party claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys’ fees arising from your unlawful use of the Website, material you submit, or violation of these Terms or another person’s rights. We may control the defense of a claim subject to indemnification, and you will reasonably cooperate.

15 Changes and availability

We may modify, suspend, or discontinue all or part of the Website and may update these Terms. Updated Terms will be posted with a revised effective date. Material changes apply prospectively. Your continued use of the Website after updated Terms take effect means you accept them. If you do not agree to an update, stop using the Website.

16 Governing law and disputes

Missouri law governs these Terms without regard to conflict-of-law rules. The state and federal courts located in St. Louis, Missouri have exclusive jurisdiction over disputes arising from the Website or these Terms, except that either party may seek temporary or injunctive relief in any court with jurisdiction to protect intellectual-property, confidentiality, or security rights. TO THE EXTENT PERMITTED BY LAW, YOU AND TOTAL ORBIT EACH KNOWINGLY AND VOLUNTARILY WAIVE TRIAL BY JURY.

17 General terms

These Terms and the Privacy Policy are the entire agreement concerning public use of the Website. They do not replace a separate written agreement for CareOrbit services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, Affiliate transfer, or sale of relevant assets. There are no third-party beneficiaries.
